Terms of Service

Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Query Minds LLC (“we,” “us,” “our”) governing your use of TeamsDesk (the “Service”). If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

Service

TeamsDesk provides a help desk solution integrated with Microsoft Teams. Microsoft 365 licensing and appropriate tenant permissions are required to use the Service.

Accounts & Access

• You are responsible for the accuracy of your account information.
• You are responsible for maintaining the confidentiality of credentials and all activity under your account.
• You will ensure only authorized users in your tenant access the Service.

Billing

Subscriptions are billed through Microsoft Marketplace under the plan you select. Charges, taxes, and renewal terms are as presented by Microsoft at purchase. You can manage or cancel your subscription via Microsoft Marketplace.

Free Trial

Trials typically last one month. Unless you cancel before the trial ends, your subscription will convert to a paid plan at the then-current rate for the selected tier.

Acceptable Use

• No unlawful, harmful, or offensive content.
• No unauthorized access, probing, or interference with the Service or other tenants.
• No misuse that degrades performance or security.
• You are responsible for content your users submit to the Service.

Data Ownership

You retain ownership of your organization’s data. You grant us the rights necessary to operate and support the Service (e.g., hosting, processing, backup). We do not sell customer data. See our Privacy Policy for details.

Availability & Support

We aim for high availability and reliability. Uninterrupted service is not guaranteed and planned maintenance may occur. Support is available via support@queryminds.com. Specific SLAs, if any, will be documented separately.

Security

We implement reasonable technical and organizational measures, including encryption in transit and at rest where appropriate, and support for Entra ID (Azure AD) SSO and MFA. Access to production systems is restricted to authorized personnel under least-privilege principles.

Term & Termination

These Terms remain in effect while you use the Service. We may suspend or terminate access for violations or risks to the Service. You may cancel at any time through Microsoft Marketplace. We may retain limited data for legal, billing, or dispute-resolution purposes as permitted by law.

Refunds

Unless required by law or expressly stated otherwise, fees are non-refundable. Any refund requests for Marketplace purchases are handled per Microsoft’s applicable policies.

Changes to the Service

We may modify features, release updates, or discontinue parts of the Service. If changes materially reduce core functionality, we will provide reasonable notice when feasible.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Query Minds LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your or your users’ use of the Service or violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of California, excluding conflict-of-laws principles. The courts located in San Francisco County, California will have exclusive jurisdiction, except where applicable law provides otherwise.
